Terms for professional web development, advertising and SEO services.

Professional Services Terms

These Terms apply to services supplied by ROMAN TKACH unless an individual Order, proposal, quotation or separate agreement states otherwise.

1. Provider

ROMAN TKACH, CEIDG, NIP 8311648339, REGON 542012740, ul. Jana Długosza 25, 98-220 Zduńska Wola, Polska, info@tkach-roman.com.

2. Services

Website/e-commerce development, UX/UI, Google Ads, Meta Ads, SEO, analytics/GTM/GA4, audits, consulting and maintenance. Scope, deliverables, stages, timing and price are set in the individual Order/proposal.

3. Contract

The contract is formed when the individual proposal is accepted in a recordable way or a separate agreement is signed. Consumers receive mandatory pre-contract information where applicable.

4. Client cooperation

The client supplies lawful materials, access and feedback on time and is responsible for the right to use supplied content, marks, lists and audiences.

5. Ads and SEO

These are professional reasonable-efforts services. Rankings, traffic, leads, CPA, ROAS/ROI and third-party platform decisions are not guaranteed. Media spend is separate unless expressly agreed.

6. Price

Price and payment schedule are set in the Order/proposal/invoice. The actual tax/VAT status applicable on the document date is used.

7. Intellectual property

Third-party components remain subject to their own licences.

Unless a separate written copyright-assignment agreement is concluded, after full payment the client receives a non-exclusive licence sufficient to use the bespoke deliverable.

Any assignment of Polish economic copyrights must be made in the written form required by Polish law and specify the relevant fields of exploitation. General tools, libraries, know-how and reusable components remain with the Provider.

8. Personal data

Where ROMAN TKACH processes personal data on the client's behalf, an Art. 28 GDPR DPA applies.

9. Confidentiality

Non-public information is protected, subject to legal and service-performance necessities.

10. B2B liability

To the extent permitted by law, the Provider is not liable for indirect losses, lost profit, independent platform actions, algorithm changes or independent supplier outages. Mandatory rules prevail.

11. Consumers

Mandatory consumer rights prevail. If a consumer requests a paid service to start before the withdrawal period expires, the statutory statement and consequences apply, including proportional payment for work performed. Loss of the withdrawal right after full performance occurs only when statutory conditions are met.

The former EU ODR platform is not referenced because it has been discontinued.

12. Ending services

One-off services end after performance. Recurring support terms are set in the Order/agreement.

13. Law and disputes

Polish law applies without removing mandatory consumer protection. The parties first seek an amicable solution.
